These Terms of Service ("Terms") govern your access to and use of Variotype, a product operated by OGP LABS PTE. LTD., a company based in Singapore ("Variotype," "OGP LABS PTE. LTD.," "we," "us," or "our"). By accessing or using Variotype, you agree to these Terms. If you use Variotype on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms, and "you" includes that entity.
1. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use Variotype. By using the service, you represent and warrant that you meet this requirement and that you can legally enter into these Terms.
2. The Service
Variotype is a software service that helps users generate prototypes — such as website prototypes, app prototypes, and other interactive or visual product prototypes — using one or more third-party artificial intelligence models. The service may also allow users to compare model outputs, chat with models, use agents, conduct research, generate supporting images, videos, presentations, and documents, and use related features we may make available from time to time. Some features are offered on a free plan, and some require payment, a subscription, AI Credits, or all three.
3. Accounts
You may need to create an account to use some or all parts of the service. You agree to provide accurate and complete information and to keep it up to date. You are responsible for all activity under your account and for keeping your login credentials secure. We may suspend or terminate accounts that violate these Terms or that create risk, harm, or legal exposure for us, our users, or third parties.
4. Acceptable Use
You may not use Variotype to violate any law, regulation, or third-party right. You may not use the service to create, submit, or distribute unlawful, infringing, harmful, fraudulent, defamatory, abusive, or misleading content; interfere with or disrupt the service; attempt unauthorized access; reverse engineer or probe the service except to the extent such restriction is prohibited by law; bypass usage limits, billing controls, or technical protections; use the service to build or train competing models or systems using our service outputs or infrastructure in a prohibited way; or submit personal data, confidential information, or sensitive information of others without appropriate rights and permissions.
5. User Content and Generated Output
You retain ownership of the prompts, instructions, files, materials, and other content you submit to the service ("Input"), and you own, to the extent permitted by applicable law, the text, code, images, videos, presentations, documents, and other content generated for you by the service ("Output"). We do not claim ownership of your Input or Output.
You grant us a limited, non-exclusive, worldwide license to host, store, reproduce, transmit, process, and display your Input and Output only as necessary to operate, provide, maintain, secure, improve, and support the service, including sending your Input to third-party model and infrastructure providers in order to generate Output.
You are solely responsible for your Input, your use of any Output, and for reviewing and validating Output before relying on it, publishing it, sharing it, exporting it, or using it in business, legal, financial, technical, or other contexts.
6. Third-Party AI Providers
Variotype relies on third-party providers to deliver core functionality, including OpenRouter and underlying model providers (such as the providers of the specific AI models routed through OpenRouter). By using the service, you acknowledge and agree that your Input may be transmitted to OpenRouter and other third-party providers as needed to process requests and generate Output. We do not control and are not responsible for the acts, omissions, policies, security, availability, retention practices, data handling, or outputs of OpenRouter, underlying model providers, or any other third-party provider. Your use of features powered by third parties may also be subject to their own terms and policies, and you are responsible for reviewing and complying with them.
We state that we do not train our own models on your Input or Output. However, we do not make promises on behalf of OpenRouter or other third-party providers, and you should review their terms and policies before using the service. You should not submit highly sensitive personal data, regulated data, trade secrets, or other highly confidential information unless you are comfortable with the risks of third-party processing. We maintain a current list of the third-party providers and subprocessors that may process data in connection with the service on our Subprocessors page.
7. Quality, Accuracy, and Availability Disclaimers
Artificial intelligence systems can produce inaccurate, incomplete, biased, infringing, non-functional, insecure, offensive, or otherwise unsuitable results. Variotype does not guarantee that any Output will be accurate, complete, useful, merchantable, fit for a particular purpose, non-infringing, production-ready, secure, or available for any specific use case. We also do not guarantee that the service will be uninterrupted, error-free, or available at all times.
The service and all Output are provided on an "as is" and "as available" basis to the maximum extent permitted by law. You use the service at your own risk.
8. Fees, Subscriptions, AI Credits, and Billing
We may offer a free plan, subscription plans, pay-as-you-go usage, top-ups, promotional credits, and other pricing arrangements. Paid features may require payment of fees in advance or as incurred. You agree to pay all applicable fees, charges, taxes, and levies associated with your use of the service.
AI Credits. AI Credits are the internal usage currency used in Variotype for prototype generation, model usage, chats, agents, research, media generation, presentations, documents, and other usage we may designate. We may decide how many AI Credits are required for particular actions, features, models, or outputs, and such amounts may change at any time.
Monthly subscription credits. If you subscribe to a monthly plan, you will receive the applicable monthly AI Credit allocation for your subscription tier. Those subscription AI Credits reset each monthly billing cycle and do not roll over unless we expressly state otherwise. Unused monthly subscription AI Credits expire at the end of the applicable billing cycle.
Top-up and pay-as-you-go credits. AI Credits purchased separately as top-ups or through pay-as-you-go arrangements do not expire unless required by law or expressly stated at the time of purchase.
No fixed cash conversion disclosure. We do not promise, disclose, or guarantee any fixed exchange, conversion, or equivalency between any fiat currency amount, including any amount in U.S. dollars, and any number of AI Credits. We may change pricing, credit allocations, credit consumption rates, model routing, and how value is measured or applied at any time.
Billing, renewals, and failed payments. Subscriptions may renew automatically unless cancelled before the next renewal date. By subscribing, you authorize us and our payment processors (including Stripe) to charge the applicable recurring subscription fees and any other charges you incur. You may cancel at any time, but unless required by law, cancellations take effect at the end of the current billing period and we do not provide prorated refunds for unused time or unused monthly subscription AI Credits. If a payment fails or is declined, we may retry the charge, suspend or restrict access to paid features, downgrade your account to a free tier, revoke unused subscription AI Credits, and/or terminate your subscription. You are responsible for keeping your payment method up to date and for any fees, interest, or costs incurred as a result of failed payments.
Refunds. Except where required by applicable law, all payments are non-refundable, including subscription fees, used AI Credits, partially used billing periods, and purchased top-up credits.
Changes. We may change pricing, plans, features, included usage, AI Credit policies, or billing terms at any time. If required by law, we will provide notice of material changes before they take effect.
9. Beta Features
We may label certain features or functionality as alpha, beta, early access, preview, or similar. Such features may be incomplete, unavailable in some regions, subject to additional limits, or changed or discontinued at any time without notice. Unless we expressly state otherwise, beta features are provided "as is" with no warranties and may not be supported.
10. Ownership of the Service
We and our licensors own all rights, title, and interest in and to the service, including the software, interface, design, branding, trademarks, logos, compilations, and all related intellectual property rights, excluding your Input and Output. These Terms do not grant you any ownership rights in the service.
11. Feedback
If you provide feedback, suggestions, ideas, or recommendations about the service, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and exploit that feedback for any purpose, without restriction or obligation to you.
12. Suspension, Termination, and Account Deletion
You may stop using the service at any time and may request account deletion in accordance with our Privacy Policy. We may suspend, restrict, or terminate your access to the service at any time, with or without notice, if we believe you have violated these Terms, created risk or possible legal exposure, failed to pay fees when due, or if we are required to do so by law or a third-party provider. Upon termination, provisions that by their nature should survive will survive, including provisions relating to ownership, licenses, disclaimers, limitations of liability, indemnity, payment obligations, and dispute terms.
13. Disclaimers
To the maximum extent permitted by law, except as expressly stated in these Terms, Variotype and all related services, features, and outputs are provided on an "as is" and "as available" basis, and we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.
14. Limitation of Liability
To the maximum extent permitted by law, OGP LABS PTE. LTD. and its directors, officers, employees, contractors, affiliates, licensors, suppliers, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, business, goodwill, data, use, or other intangible losses, arising out of or related to your use of, or inability to use, the service, any Output, or any third-party provider.
To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to the service or these Terms will not exceed the greater of: (a) the amount you paid us for the service in the 12 months before the event giving rise to the claim, or (b) SGD 500.
15. Indemnity
You agree to indemnify, defend, and hold harmless OGP LABS PTE. LTD. and its affiliates, personnel, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising out of or related to your Input, your Output, your use of the service, your violation of these Terms, or your violation of any law or third-party right.
16. Privacy
Your use of the service is also subject to our Privacy Policy, which is incorporated into these Terms by reference and explains how we collect, use, store, and disclose personal data. By using Variotype, you acknowledge that your information may be processed in Singapore and other countries where we or our service providers operate. Because the service relies on third-party providers, including AI and infrastructure providers, personal data and other information you submit may be processed by those providers in accordance with their own terms and policies.
17. Export Controls and Sanctions
You may not use, export, re-export, or otherwise transfer the service except as authorized by applicable law, including export control and sanctions laws and regulations. You represent and warrant that you are not located in, ordinarily resident in, or a person or entity ordinarily prohibited from receiving the service under applicable export control or sanctions laws, and that you will not use the service in violation of such laws.
18. Changes to the Service
We may modify, update, suspend, discontinue, or remove any part of the service, including features, models, integrations, usage limits, or availability of specific functionality, at any time. We are not obligated to continue offering any particular feature, model, or integration, and we are not liable for changes made for business, legal, security, technical, or provider-related reasons.
19. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice before they take effect, such as by updating the effective date at the top of these Terms, posting notice through the service, or sending notice to the email associated with your account. Your continued use of the service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the service.
20. Dispute Resolution
Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the service informally by contacting us at [email protected] with a written description of the dispute and the relief you seek. The parties will attempt in good faith to resolve the dispute through informal negotiation for at least 30 days after such notice is received before either party may commence formal legal proceedings, except that either party may seek injunctive or other equitable relief at any time to protect intellectual property rights, confidential information, or to prevent imminent harm.
21. Force Majeure
We will not be liable for any failure or delay in performance of our obligations under these Terms to the extent caused by events or circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, civil unrest, government actions, changes in law, embargoes, labor disputes, strikes, pandemics, epidemics, internet or telecommunications failures, power outages, cyberattacks, denial-of-service attacks, or failures, suspensions, or interruptions by third-party providers, including OpenRouter, underlying model providers, payment processors, or infrastructure providers.
22. General Terms
These Terms are governed by the laws of Singapore, without regard to conflict of laws principles. Subject to Section 20 (Dispute Resolution), any disputes arising out of or relating to these Terms or the service will be subject to the exclusive jurisdiction of the courts of Singapore. These Terms, together with our Privacy Policy and any other policies or terms expressly referenced herein, constitute the entire agreement between you and us regarding the service and supersede all prior or contemporaneous agreements, understandings, and communications. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent. You may not assign or transfer these Terms or any rights or obligations hereunder, by operation of law or otherwise, without our prior written consent; any attempted assignment in violation of this provision is void. We may freely assign or transfer these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
